Terms & Conditions​

Introduction

These Terms & Conditions form part of an agreement between Thames Composites and the Client for which Thames Composites will serve as a Supplier.

Definition

For purposes of this contract, Thames Composites will be deemed the Supplier and its customers will be deemed as Client.

Application

This agreement serves as a contract that the parties both enter into willingly, that Thames Composites will serve as a supplier to the Client, for both Goods and Services, under the following Terms & Conditions.

Quality & Description

All Goods and Services supplied to the Client shall adhere to the description, including size, colour, dimensions and quality as set out in the Purchase Order or stated in the specifications given to us by the Client. This can be in the form of drawings or confirmed in writing, including email.

All Goods and Services shall be delivered in a state finished to the set standard as specified by the Client.

All Goods and Services shall be finished to a standard which conforms with the regulatory requirements as specified by the Client. In the absence of these being provided, we will seek to use our own regulatory obligations as a guideline for conformity.

All Goods and Services shall be finished to accurately reflect the description given to the Client in the mutually agreed quotation.

Pricing & Payment

Prior to any work commencing, we will issue the Client with a quotation for any works commissioned. This quote shall specify the price, size and payment credit terms.

Works for all Goods and Services will not commence until we receive a Purchase Order or written confirmation that the Client wishes to go ahead with the order. Once this confirmation is received, it will be assumed that the Client has accepted the price quoted for the works. Any further negotiation on price, will require a new quotation to be generated and presented to the Client.

In many instances, payment may be required on placing the order for some orders. This will be at our discretion.

In instances where credit is offered, payment will be offered according to our credit terms, which is 28 days.

Credit will be offered at our discretion.

Payment terms shall be clearly stated on all quotations given to Clients.

All quotations shall be made ex VAT, as stated on them.

All quotations shall specify whether costs include delivery or not.

Delivery & Rejections

Deliveries will be delivered with a signed Certificate of Conformity, where required. This is to be taken as confirmation that the product/service has passed through our internal quality control process.

Goods/ Services will be delivered within a mutually agreed timeframe.

All Goods/Services shall be delivered in good appropriate condition. Packaging shall be adequate to protect the product and all products shall be delivered intact and complete with any specified fixtures & fittings.

On delivery of Services/ Goods, we will issue the Client with a delivery note. There will be two copies of this. They are to be signed by Client, or the Client’s representative, and retained as a proof of delivery. Items can be inspected before the signing of delivery notes.

The signing of the delivery note will be taken as confirmation of delivery of Goods/Services.

In the event that the Client wishes to reject the Goods/Services and refuses to sign the delivery note, we shall enter into discussion with the Client and will endeavour to do all we can to rectify the situation.

All concerns in quality that may be raised by the Client shall be logged and treated as a non-conformance, according to our obligations under ISO Quality Management Systems 2015 Standard.

All goods will be delivered to the address stated as the delivery address on the Purchase Order unless otherwise stated by the Client.

Refunds & Cancellations

All refunds and cancellations on orders already placed, shall be subject to our discretion.

All refunds and cancellation on orders already paid for, shall be subject to our discretion.

All changes on orders already placed shall be to our discretion, although we shall seek to accommodate the Client’s requests where possible.

We seek to work in harmony with all our Clients always and endeavour to deliver to them a quality service that meets their needs.

Code of Conduct

Thames Composites endeavours at all times, to conduct itself in an appropriate manner. We seek to work in a non discriminatory way, paying attention to our company Anti-Discriminatory Policy.

We aim to adhere to our company’s Ethics & Anti-Bribery Policy.

We practice a level of confidentiality in accordance with our company’s GDPR policy.

We also pay heed to our legal obligations under the Child Labour Act 1986 and Modern Slavery Act 2015.

This Code of Conduct shall apply to all representatives of Thames Composites.

Thames Composites takes very seriously its obligations under laws against money laundering

Health & Safety

We adhere to our company’s Health & Safety Policy, which is available on request.

This policy applies to all representatives of Thames Composites.

We operate a Work Safe Policy, a copy of which is available on request.

Environmental Issues

We take our environmental obligations seriously. We operate an Environmental Impact Policy and set Environmental Quality Objectives every year.

We seek actively to reduce our carbon emissions and encourage recycling of waste among our own supply chain.

Intellectual Property Rights

Thames Composites will retain ownership over the intellectual design adaptations that it creates as part of the manufacturing process. Clients are prohibited from claiming rights to the modifications in design to Goods/Services supplied to them by Thames Composites or from further distributing such goods or supplying them to a third party.

Upon completion of the commissioned works, any issued material remains the property and responsibility of the Client. This may take the form of tooling moulds or other.

The cost and storage of such items remains the responsibility of the Client.

Indemnity & Liability

Indemnity issues are covered by our Employers Liability.

Thames Composites has Product Liability to cover any disputes that may arise from product defect.

Thames Composites takes no responsibility for the performance of its products under circumstances that are beyond its control. This includes products being stored or handled inappropriately by a third party not commissioned by Thames Composites or being subjected to extreme conditions that the product was not designed for.

Thames Composites will not accept liability for damage sustained to products as a result of being used in ways that was not specified to us in the commissioning of the work.

Once the Goods/Services have been delivered, Thames Composites shall no longer be responsible for the welfare of the product.

As a supplier, Thames Composites shall offer ongoing technical support and consultancy regarding its Goods/Service, as to its best and correct use and correct disposal, recycling of the Goods for as long as is deemed necessary by Thames Composites.
